Cohere and Aleph Alpha moved from alliance to contract on Wednesday, signing a definitive business combination agreement that converts an April outline into a binding transaction. Clearance from regulators is still outstanding and the deal is expected to close later this year.
Berlin and Toronto both get headquarters. The Cohere name carries forward, and Aleph Alpha’s Heidelberg office becomes a research centre. Once combined, the workforce tops 1,000 people spread over two continents.
Leadership changes follow. Ilhan Scheer, currently co-chief executive of Aleph Alpha, takes the chief operating officer role. Samuel Weinbach, a co-founder and co-chief research officer, becomes chief research officer. Neither title takes effect until closing.
Sovereignty is the sales argument. The pair promise model development, deployment and data handling that satisfy German and Canadian rules at the same time, a story aimed at public sector buyers and regulated industries that want capability without handing their data to a US lab.
An existing alliance with Schwarz Group supplies the infrastructure. The group’s STACKIT cloud is slated to host government and enterprise workloads, and Schwarz Digits committed EUR 500M in structured financing last spring as lead investor in Cohere’s planned Series E round.
Both companies had already narrowed toward public sector and defence work, competing with US labs and European champions for the same procurement budgets rather than consumer chat.
