Analog Devices is acquiring Alif Semiconductor for $1.35B in cash, with up to $200M extra tied to future milestones. Both boards have signed off, and the companies expect the deal to close before 2027.

The seller designs low-power chips for on-device AI from Pleasanton, California. Alif’s microcontroller and fusion processor lines pair neural engines with radios, security blocks and power management on a heterogeneous architecture, and its parts have moved past sampling into real orders from consumer and industrial buyers. Kleiner Perkins led the company’s venture rounds.

ADI sees the purchase as a bet on machines that read the physical world. Its strategy, branded Physical Intelligence, holds that the next phase of AI will sense motion, sound and vibration, then act where the signals originate, inside tight limits on speed, power and trust. Combining Alif’s digital compute with ADI’s analog and sensing blocks lets the two sell complete local-intelligence systems, the companies said. Vincent Roche, ADI’s chief executive, described the deal as extending what his firm has done for decades at the electro-physical interface, where real-world signals become actionable intelligence.

The transaction widens ADI’s reach across industrial automation, data center infrastructure, defense, energy, robotics, digital health and wearables. ADI booked more than $11B in revenue in its last fiscal year. PJT Partners advised the buyer and Qatalyst Partners advised Alif.
