A single share will outvote Anthropic public holders

Seven co-founders will hold 50.1 percent of the vote through a single Class F share

Anthropic is asking the public to fund a company that the public will not control. Under the corporate structure described in its filing, seven co-founders hold a single Class F share carrying 50.1 percent of all voting power on matters put to a shareholder vote.

The arrangement sits inside a public benefit corporation, a legal form that obliges directors to weigh a stated mission against profit. Anthropic’s stated purpose is to develop advanced AI “for the long-term benefit of humanity.” A trust created in 2023 oversees company conduct, and a public benefit fund holds about 847M Class N shares, near 5 percent of the fully diluted total as of June 30.

The company told regulators the structure has “no direct public company precedent.” It also said the form gives its board “latitude” to balance shareholder returns against the interests of people affected by its conduct.

Corporate lawyers are less sanguine. Lawrence Hamermesh, a Delaware attorney who has worked on benefit corporation law for decades, said the obligation to “balance” purpose and profit has no working definition. “Good luck,” he said of the standard. He added that directors gain an extra defense in damages suits, since they can argue a decision served the stated public benefit.

The practical question for buyers is narrower. If Anthropic declines to release a model it considers dangerous, and that costs revenue, the seven founders can absorb the backlash. Outside holders cannot.
