Upwind turns down a takeover and raises more instead

The cloud security vendor topped up its Series C by $100M and now carries a $3.8B valuation

Upwind Security raised $400 million in fresh capital, a financing that puts a $3.8 billion value on it. Early coverage had the round at $300 million, and Upwind added another $100 million before signing. The company used the moment to report revenue quadrupling in 2026.

An offer preceded the round. Globes, an Israeli business daily, cited The Information in reporting that Datadog had proposed a deal worth $4 billion for Upwind and been turned down. The funding statement never mentions it.

Upwind’s pitch rests on runtime telemetry drawn from cloud workloads, APIs and AI agents, gathered in one place instead of scattered across separate tools. Alerts without context, such as an AI agent doing something with no sign of its purpose, are the failure it targets. Built-in specialized agents investigate a signal, confirm it and apply the correction.

Co-founder and Chief Executive Amiram Shachar started the business in 2022 with colleagues from Spot, a company NetApp reportedly bought for $450 million in 2020. Customers could move well past alert handling, he argued, once they saw live how workloads, APIs and agents interact, since AI agents deployed inside enterprises now change cloud environments faster than any manual process can track.

Hundreds of organizations run Upwind, among them Siemens AG, Roku Inc. and Amazon Web Services Inc. Inside Amazon’s console, the product opens through Security Hub and bills to the customer’s account. Microsoft, Google and Oracle clouds host it as well.

Bessemer Venture Partners led the Series C and returned alongside Cyberstarts, Greylock Partners, Craft Ventures Management, Salesforce Ventures and Picture Capital, with Canapi Ventures added as the newcomer. Bessemer also ran the $250 million Series B in January, when Upwind was valued at $1.5 billion. Cumulative investment approaches $830 million for product work and a wider go-to-market effort.
